JOB DESCRIPTION

Reports To: Head – Legal & Company Secretary

Division: MoMo Payment Service Bank (MoMo PSB)

Mission:

As the Manager of Legal and Company Secretariat for MoMo PSB, your mission is to provide the company with a broad range of legal and advisory services, including contract management, monitoring the regulatory landscape, opinion drafting, and dispute resolution. Additionally, you will support the Company Secretary with Fintech Group requirements and compliance with its approach towards corporate governance.

Description:

  • Ensure effective implementation of the functional strategy.
  • Maintain continuous and effective liaison with external solicitors for regular updates, compliance with procedural court rules, and stipulated time limits for actions to minimize the cost and adverse effects of litigation.
  • Review legal cases, petitions, and internal matters requiring legal input or perspective. Consult with all relevant parties, advise on case/petition/legal-related matters, provide recommendations on courses of action, and take appropriate and approved action in accordance with the policies of MoMo PSB.
  • Draft legal agreements and review all relevant documentation supporting contracts for authenticity and validity, including commercial agreements and documentation of transactions.
  • Build and manage a contract template bank as well as a contract repository.
  • Conduct proactive dispute management, including the prevention of litigation, ensuring legal processes and services are effective and efficient in line with defined and approved designs and rules.
  • Settle legal issues between MoMo PSB and third parties, assisting in managing liquidations and disputes.
  • Develop and oversee systems to ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • Carry out legal (administrative) services work, including liaison and correspondence with external bodies and organizations, and structuring and negotiating commercial transactions.
  • Provide adequate support to the Company Secretary with minimum supervision. This includes managing Board and Committee meetings, Executive Committee meetings, filing relevant returns, maintaining statutory books and records, and following up with actions from these meetings.
  • Responsible for arranging assigned Management Committee meetings and any other required meetings, keeping track of minutes of meetings, and writing reports.

Education:

  • Bachelor’s degree in Law.
  • Certificate of Call to the Nigerian Bar.
  • Membership of ICSAN (Institute of Chartered Secretaries and Administrators of Nigeria) would be an added advantage.

Experience:

  • 6–13 years’ experience in Corporate Commercial practice.
  • Fintech, Banking, or Financial Services experience is mandatory.
  • A minimum of 3 years’ total experience in a company secretarial role required.
  • Experience working in a medium organization, preferably a multinational or international company.
  • Civil/commercial litigation experience.
  • Commercial/technical and/or further legal qualification will be an advantage.
  • Experience in handling complex negotiations.
  • In-depth experience and understanding of the Nigerian regulatory framework and context.
